Draft — requires professional legal review before launch
This document is a working draft prepared as part of the IPMeld website build. It has not been reviewed or approved by a qualified legal adviser and must not be relied upon in its current form. All bracketed placeholders require verified information before publication.
Version 1.0 draft · Last updated 2 September 2026 · Governing law: England and Wales [to be confirmed]
1. About these terms
These terms of use govern access to and use of the IPMeld website and any associated platform areas (together, the Platform). By using the Platform you agree to these terms. If you do not accept them, please do not use the Platform.
The Platform is operated by Big5 Network Ltd, 167-169 Great Portland Street, 5th Floor, London, England, W1W 5PF, United Kingdom. Company registration details and registered office [to be confirmed]. IPMeld is a project promoted and supported by Big5 Network Ltd. The precise legal relationship between IPMeld and Big5 Network Ltd is subject to confirmation and this statement is editable.
2. What IPMeld is and is not
IPMeld is a technology assembly, validation and licensing platform. It brings related inventions together into coherent technology packages, assesses them, and works towards commercial licensing with industrial partners.
IPMeld is not a patent-listing website, a patent broker or a patent-assertion company. It does not acquire intellectual property for the purpose of extracting settlements from operating businesses. See the Ethical Commercialisation Charter.
3. No professional advice
Nothing on the Platform constitutes legal, patent, regulatory, financial or investment advice. Information about intellectual property, commercialisation routes, readiness levels or market conditions is provided for general information only. You should take independent professional advice before making any decision about your invention, your intellectual property or any commercial arrangement.
IPMeld does not act as your patent attorney and does not file, prosecute or maintain patent applications on your behalf unless separately agreed in writing.
4. No guaranteed outcomes
Submitting an invention, participating in an assessment or appearing in a technology package does not guarantee any outcome. In particular, IPMeld does not guarantee that:
- an invention will be accepted, assessed or advanced;
- patent or other intellectual property protection will be available, granted or maintained;
- a licensee, industrial partner or investor will be found;
- any licence, pilot, sale, spin-out or other transaction will be concluded; or
- any revenue, royalty or financial return will arise.
Any figures, ranges, timelines or sector examples shown on the Platform are illustrative unless expressly stated to be verified. Demonstration data in portal areas is clearly labelled and does not describe real submissions, partners or transactions.
5. Accounts and eligibility
Some areas of the Platform require an account. You must be at least 18 years old and legally able to enter into a binding agreement. You agree to provide accurate information, to keep your credentials confidential, and to notify us promptly of any suspected unauthorised access.
Where you use the Platform on behalf of an organisation, you confirm that you are authorised to do so and that the organisation accepts these terms.
Secure portal functionality is under development. Where an area is marked Secure Portal Coming Soon, it is a prototype and must not be used to transmit confidential material.
6. Submissions
Submissions of inventions, challenges and related material are governed by the Submission Terms and the Confidentiality Notice. Submitting material to IPMeld does not transfer ownership of your invention or your intellectual property to IPMeld or to Big5 Network Ltd.
Using the enquiry or submission facilities does not by itself create a non-disclosure agreement. Any confidentiality obligations arise only as set out in the Submission Terms, the Confidentiality Notice, or a separately executed agreement.
7. Platform content and intellectual property
The Platform, including its text, design, diagrams, logos and code, is protected by intellectual property rights owned by or licensed to Big5 Network Ltd [to be confirmed]. You may view and print pages for your own internal evaluation. You may not copy, republish, adapt or commercially exploit Platform content without written permission.
The IPMELD name and marks are used as a working brand and are subject to company-name, domain and trade mark clearance.
8. Acceptable use
You must use the Platform lawfully and in accordance with the Acceptable Use Policy. We may suspend or terminate access where we reasonably believe that policy has been breached.
9. Third-party links and services
The Platform may link to third-party websites and services, including mapping, analytics and email delivery providers. We are not responsible for third-party content or practices. Your use of a third-party service is governed by that provider's terms.
10. Availability
We aim to keep the Platform available but do not guarantee uninterrupted access. We may change, suspend or withdraw all or part of the Platform, including prototype areas, without notice.
11. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded.
Subject to that, and to the fullest extent permitted by law: the Platform is provided on an "as is" basis; we exclude all implied warranties; and we are not liable for loss of profit, loss of business, loss of opportunity, loss of anticipated savings, loss of or damage to data, or any indirect or consequential loss. Our total aggregate liability arising out of use of the Platform is limited to [amount to be confirmed on legal review].
This clause requires review by a qualified adviser and may not be enforceable as drafted.
12. Changes to these terms
We may update these terms. The version in force is the one published on the Platform, identified by the version number and date shown above. Material changes affecting submitted inventions will be notified to registered account holders.
13. Governing law
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction [to be confirmed on legal review].
